Terms & Conditions

Effective: 1 January 2026. Governed by the laws of Hong Kong SAR.

These Terms and Conditions ("Terms") govern your access to and use of the CoHelper mobile application (Android and iOS) and web application (collectively, the "Service"), operated by EveryLittleThoughts Limited ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Agreement to Terms

By downloading, installing, registering for, or using CoHelper, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

2. Definitions

  • "Service" means the CoHelper mobile applications (Android and iOS), web application (PWA), and all related services operated by EveryLittleThoughts Limited.
  • "User" means any person who accesses or uses the Service, including Employers and Helpers.
  • "Employer" means a registered User who manages a household and one or more domestic helpers through the Service.
  • "Helper" means a domestic helper invited by an Employer to join the Service.
  • "Subscription" means a paid plan (Pro Compliance or Elite Management) that unlocks additional features for Employers.
  • "Content" means any data, text, images, receipts, payslips, or documents uploaded or created by Users within the Service.

3. Account Registration

To use CoHelper as an Employer, you must register for an account. By registering, you agree that:

  • You are at least 18 years of age and have legal capacity to enter into a binding contract.
  • All information you provide is accurate, current, and complete.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • You will notify us immediately of any unauthorised access to your account at support@cohelper.hk.
  • If you enable biometric login (fingerprint or Face ID), authentication occurs entirely on your device using its local secure enclave. No biometric data is transmitted to or stored on our servers.

4. Subscription Plans and Billing

CoHelper offers the following plans for Employers:

  • Essential (Free): Free forever. No payment information required. Includes core household coordination features.
  • Pro Compliance: Paid plan with advanced employer workflows layered on top of Essential.
  • Elite Management: Paid plan with the full household feature set layered on top of Pro.

Paid subscriptions are billed through the Google Play Store or Apple App Store depending on your platform. By subscribing, you authorise the respective app store to charge the applicable fee on a recurring basis. All prices are in Hong Kong Dollars (HKD).

Auto-Renewal: Subscriptions automatically renew at the end of each billing period. To cancel, you must do so through your Google Play or Apple App Store account settings before the renewal date.

Refund Policy: We do not offer refunds for partially used subscription periods, except as required by applicable law or the refund policies of the relevant app store.

Price Changes: We reserve the right to change subscription pricing. We will provide at least 30 days' written notice via email and in-app notification before any price change takes effect.

5. Permitted Use

CoHelper is provided solely for lawful household management between employers and their domestic helpers in Hong Kong. You agree not to:

  • Use the Service for any purpose that is unlawful or prohibited by these Terms or applicable Hong Kong law.
  • Use the Service to harass, abuse, discriminate against, or harm any person, including domestic helpers.
  • Attempt to reverse-engineer, decompile, disassemble, or extract any AI models, algorithms, or proprietary code from the Service.
  • Use automated scripts, bots, crawlers, or scraping tools to access or extract data from the Service.
  • Upload malware, viruses, or any code designed to disrupt or damage the Service or other Users' data.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

6. AI OCR Feature

The AI-powered receipt scanning feature ("AI Scan") is available to Pro Compliance and Elite Management subscribers.

  • Daily Limits: Pro subscribers may perform up to 3 AI scans per day; Elite subscribers up to 10 per day. Limits reset at midnight Hong Kong Time (UTC+8).
  • Image Transmission: When you use AI Scan, your receipt image is transmitted to our third-party AI provider (Novita/Deepseek) solely for the purpose of text extraction. By using this feature, you represent that any receipt images you submit contain only information you are authorised to process.
  • Accuracy: AI OCR results are provided on a best-efforts basis. We do not guarantee 100% accuracy of extracted data. You must always verify AI-extracted information before relying on it for financial or compliance purposes.
  • Data Handling: Images are processed by the AI provider for the duration of the inference request only and are not stored by them beyond that immediate operation, as described in our Privacy Policy.

7. Data and Privacy

Our Privacy Policy is incorporated into these Terms by reference and describes how we collect, use, store, and share your personal data in compliance with Hong Kong's Personal Data (Privacy) Ordinance (Cap. 486).

  • Data Ownership: You retain full ownership of all Content you upload or create within the Service.
  • Limited Licence to Process: By uploading Content, you grant EveryLittleThoughts Limited a limited, non-exclusive, royalty-free licence to store, process, and display your Content solely for the purpose of providing the Service to you.
  • Data Retention: The Documents Vault feature (available to Elite subscribers only) operates on a 180-day (6-month) rolling retention window. Files older than 180 days are automatically and permanently deleted. At the 150-day mark (approximately 5 months after upload), you will receive an automated email and in-app notification inviting you to perform a Full Export of your data before the oldest files are rotated out. Beyond the Documents Vault, uploaded files are retained at our discretion based on your subscription tier. Retention periods may vary and are subject to change without notice.
  • No Data Selling: We will never sell your personal or financial data to third parties.

7A. Service Nature & Data Responsibility

CoHelper is a Software-as-a-Service (SaaS) household management tool. It is provided to help you organise, track, and manage your household operations. CoHelper is not a professional data backup service, document storage vault, or records custodian.

  • User Responsibility: You are solely responsible for maintaining independent, permanent copies of all documents, receipts, payslips, and other records you upload to the Service. We strongly recommend that you regularly export your data and store copies on your own personal cloud storage, email, or physical media.
  • No Bailment: No bailment relationship is created by your use of the Service. The Company does not assume any duty of care beyond providing the Service on an "as-is" basis.
  • Compliance Reminder: Hong Kong law may require employers to maintain certain employment records for up to 7 years. The legal burden of maintaining these records remains entirely with you, the User. CoHelper's file retention features are provided as an organisational convenience and do not constitute a guarantee of permanent availability.
  • Data Export: CoHelper provides data export functionality so you can download copies of your household records at any time. We recommend exporting your data at least once per month.
  • Annual Report Download: Paid subscribers (Pro and Elite) can generate and download an annual report containing a structured archive of their uploaded documents, payroll records, receipts, and expenses for any calendar year. This feature is provided as a convenience to help you maintain your own records — the generated report becomes your responsibility once downloaded.
  • Backup Reminders: CoHelper periodically sends email reminders encouraging you to export and back up your data. These reminders are a courtesy — failure to act on them does not create any obligation or liability on our part.
  • Tier Downgrade: If you downgrade your subscription plan, files that exceed your new tier's retention period may be permanently deleted. It is your responsibility to export your data before any plan change.
  • 6-Month Rolling Purge (Elite): Elite subscribers' Documents Vault uses a 180-day rolling retention window. Files older than 180 days are automatically purged. A pre-expiry notification is sent at the 150-day mark. This is a convenience feature — the Company does not guarantee file availability for any fixed duration.

8. Intellectual Property

All software, design elements, trademarks, service marks, logos, and content forming part of the CoHelper Service — excluding User-uploaded Content — are the exclusive property of EveryLittleThoughts Limited and are protected by applicable intellectual property laws of Hong Kong and international conventions.

"CoHelper" and related marks are trademarks of EveryLittleThoughts Limited. You may not use our trademarks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal household management purposes. This licence does not permit copying, modifying, distributing, selling, or creating derivative works of any part of the Service.

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable Hong Kong law, EveryLittleThoughts Limited and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, regulatory fines, or other intangible losses, arising from:

  • Your use of, or inability to use, the Service;
  • Any errors or inaccuracies in AI OCR results;
  • Loss, corruption, or deletion of data, including data deleted due to retention policy expiry, account closure, or technical failure;
  • Unauthorised access to your data where you have failed to take reasonable security precautions;
  • Any interruption or cessation of the Service.

Our aggregate liability to you for all claims arising from these Terms or your use of the Service shall not exceed the total subscription fees you paid to the Company in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be excluded or limited under applicable Hong Kong law, including liability for death or personal injury caused by our negligence, or liability for fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify, defend, and hold harmless EveryLittleThoughts Limited and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any Content you submit that infringes the rights of a third party.

11. Termination

You may delete your account at any time through the in-app account settings or by contacting support@cohelper.hk.

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have: violated these Terms; engaged in fraudulent or abusive activity; or posed a security risk to the Service or other Users.

Upon termination of your account:

  • Your access to the Service will cease immediately.
  • All personal data associated with your account will be permanently deleted within 30 days, subject to any mandatory legal retention obligations. It is your responsibility to export your data before initiating account deletion.
  • Outstanding subscription charges are non-refundable except as required by law or app store policies.

11A. Service Discontinuation

In the event that EveryLittleThoughts Limited decides to discontinue the Service, we will:

  • Provide at least 90 days' advance notice via email to all registered Users and via prominent in-app notification.
  • Maintain the data export functionality throughout the notice period so Users can download their records.
  • Permanently delete all User data within 30 days following the discontinuation date.

You acknowledge that CoHelper is a subscription-based service and that the Company is under no obligation to continue operating the Service indefinitely. Your responsibility to maintain independent backups of your records (as described in Section 7A) applies at all times.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 14 days' advance notice via email to your registered address and via an in-app notification. The revised Terms will be posted at cohelper.hk/terms. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.

Informal Resolution: Before initiating any formal legal proceedings, you agree to contact us at support@cohelper.hk to attempt informal resolution. We will endeavour to respond and work towards a resolution within 30 days.

Jurisdiction: If informal resolution fails, any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
